These terms apply to use of orasmedical.com (the “Website”) and to products or services purchased from Oras Marketing Ltd trading as Oras Medical (“Oras Medical”, “we”, “us” or “our”), unless we agree different terms with you in writing.

Please read these terms, any product or service description, your quotation or order confirmation, and our Privacy Policy before placing an order. Our Returns and Refunds Policy provides further information about cancellations and returns.

1. Who our products and services are for

Our products and services are principally offered to healthcare organisations, clinics and professionals for professional use. You are responsible for checking that a product, service, intended use and any training arrangements are suitable for your circumstances before ordering.

Information on our Website, in educational events and in adoption materials is general information. It is not patient-specific clinical advice and does not replace professional judgement, appropriate training, manufacturer instructions or applicable clinical and regulatory requirements.

You must use a device in accordance with its supplied instructions, intended purpose and applicable requirements. Purchasing a device does not itself establish clinical competence or authorise any person to undertake a procedure.

2. Products, services and descriptions

We take reasonable care to describe products and services accurately. Images are illustrative, and specifications, software features, compatibility, accessories and availability may vary by model or change over time. The description in your accepted order or quotation identifies what we have agreed to supply.

Services such as consultations, Blueprints, onboarding, demonstrations, webinars and practical training have the scope and deliverables stated on the relevant page, quotation or order confirmation. Training or access to an educator is included only where expressly stated.

If a material specification changes before we accept your order, we will tell you and give you the opportunity to proceed with the revised product or cancel. We will not substitute a materially different product without your agreement.

3. Orders and contract formation

Placing an order, submitting an enquiry or accepting a quotation is an offer to buy. An automated acknowledgement confirms receipt but does not mean that we have accepted an order.

A contract is formed when we send a written order confirmation or otherwise expressly accept the order in writing. For a product bought through an automated checkout, the confirmation email will state whether it is an acknowledgement or acceptance.

We may decline an order, including where a product is unavailable, information supplied is incomplete, a pricing error has occurred, or we cannot reasonably fulfil it. If we have taken payment for an order we do not accept, we will refund it.

Please check your order confirmation promptly and contact us if any details are incorrect.

4. Prices, VAT and payment

Prices are quoted in pounds sterling unless stated otherwise. We will make clear whether a price includes or excludes VAT. Delivery charges and any other applicable charges will be shown before you commit to an online order or set out in your quotation.

Payment methods available for a particular order will be shown at checkout or on the invoice. We may accept card payment, bank transfer or another stated method. Payments made through an independent finance provider are subject to that provider’s separate application, approval and terms.

Unless we have agreed credit terms in writing, payment is due before we place an order with a supplier or arrange dispatch. Where we agree credit terms, the due date will appear on the invoice or written agreement.

If we discover an obvious pricing error before accepting an order, we will contact you with the correct price. You may then choose whether to place an order at that price.

5. Delivery, risk and ownership

We will provide an estimated delivery date or period before accepting your order. An estimate is not a guaranteed delivery date unless we expressly agree that it is. We will keep you informed of a material delay and comply with any delivery rights you have under applicable law.

Some products may be delivered directly by a manufacturer or fulfilment partner. You must provide an accurate delivery address and promptly tell us about any visible damage, missing items or delivery problems so that we can investigate. This does not limit your statutory rights.

For a business customer, risk in a product passes on delivery to the agreed address or to a person authorised to receive it. For a consumer, risk passes in accordance with applicable consumer law. Ownership passes when we have received payment in full, subject to any rights that cannot lawfully be excluded.

Delivery outside the UK is available only where we agree to it. The quotation or order confirmation should identify any applicable shipping charges and responsibility for customs duties and import taxes.

6. Services, appointments and customer information

We will provide services with reasonable care and skill. Delivery dates for a Blueprint, report, onboarding session or other service may depend on your supplying complete and accurate information, making relevant staff available, and responding to reasonable requests.

Any assessment, recommendation or implementation plan is based on the information available to us at the time. You remain responsible for your own purchasing, clinical, operational and financial decisions.

If you need to rearrange an appointment, please contact us as soon as possible. Any specific rescheduling or cancellation charge must be disclosed to you before you book or agree to the service.

7. Cancellations, returns and faults

Our Returns and Refunds Policy sets out how to request a return and any additional commercial return offer that applies to a particular product.

Business customers: There is no automatic statutory right to cancel a purchase simply because you change your mind. Any agreed return period, including a seven-day return offer, applies only on its stated terms. Nothing in this section limits your rights where goods are faulty or do not meet the contract.

Consumers: If you buy at a distance as a consumer, you may have a statutory right to cancel within 14 days of receiving goods, and separate cancellation rules may apply to services and digital content. Any Oras Medical seven-day return offer is additional to, and does not shorten, your statutory rights. Applicable exceptions and the process for exercising your rights will be explained in our Returns and Refunds Policy.

If a product is faulty, damaged or incorrectly supplied, contact admin@orasmedical.com with your order details and a description of the issue. Your legal remedies are unaffected by a manufacturer warranty or an additional return offer.

8. Warranties and support

A product’s warranty period and the support included with it are those stated on its product page, quotation or order confirmation. Warranty terms may differ between products.

Where lifetime software updates are expressly included, this means updates made available for the applicable product during its supported life, subject to the manufacturer’s technical requirements. It does not promise that new features or support will remain available indefinitely.

A manufacturer warranty or commercial guarantee is additional to any statutory rights you may have.

9. Intellectual property and permitted use

The Website and our original materials, including checklists, Oras Check outputs, Blueprints, training content and adoption frameworks, are protected by intellectual property rights owned by us or our licensors.

You may use a purchased deliverable internally for the organisation and purpose for which it was supplied. Unless we agree otherwise in writing, you may not resell it, publish it as your own, distribute it commercially, or reproduce substantial parts for third parties. Nothing here prevents use permitted by law.

You retain ownership of material you provide to us. You give us permission to use it as reasonably necessary to provide the requested product or service, subject to our Privacy Policy.

10. Website availability and external links

We aim to keep the Website accurate and available but cannot guarantee uninterrupted access. We may update or withdraw content where necessary. External websites linked from our Website have their own content and terms, for which their operators are responsible.

11. Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. Nothing in these terms removes a consumer’s statutory rights.

For business customers, we are not liable for indirect or consequential loss or for lost profit, revenue or business opportunity arising from a breach of contract, except where such an exclusion is prohibited by law. Subject to the preceding paragraph, our aggregate liability arising from an order is limited to the amount paid or payable to us for the product or service giving rise to the claim.

We do not guarantee a particular clinical, commercial or financial outcome from the use of a product, consultation, Blueprint or training service.

12. Events outside our reasonable control

If an event outside our reasonable control delays performance, we will inform you as soon as reasonably possible and take reasonable steps to reduce its effect. Your rights under applicable law, including any right to cancel following a significant delay, remain unaffected.

13. Changes to these terms

We may change these terms by posting an updated version on the Website. The terms applicable to an order are those provided or made available when that order is placed and accepted, unless we agree a later change with you or a change is required by law.

14. Other legal terms

If a provision is found unenforceable, the remaining provisions will continue to apply. A delay in enforcing a right does not waive it. You may not transfer your rights under a contract without our written agreement; we will not unreasonably withhold agreement where the law requires otherwise.

These terms are governed by the law of England and Wales. For business customers, the courts of England and Wales have exclusive jurisdiction. A consumer may also have the right to bring proceedings in the courts of the part of the UK where they live.
